Your Questions Answered
What is the benefit and what are the costs of holding Nicaragua real estate under a Nicaraguan corporation?
This is a very common question we receive from our readers. As you know, both foreigners and nationals share the same property rights when it comes to owning Nicaragua real estate. Additionally, you have the option of holding property in your own name or under a Nicaraguan corporation.
The main benefit of holding your property under a Nicaraguan corporation comes when you plan to have partners, investors, or any additional party that will own the property with you. The name of the corporation will be recorded on the property deed, and you will have the flexibility to change the number of investors, their percentage of ownership, etc.
Costs associated with owning a Nicaraguan corporation stem from a) forming the corporation and b) from ongoing operations of the corporation.
Forming a Nicaraguan corporation for the purpose of holding real estate can be done in two different ways:
1) from scratch, meaning you establish the corporation with an attorney and then complete the registration process with all associated government authorities, or
2) purchase an "off the shelf" corporation from an attorney that already has one set up, meaning the registration process, etc has already been completed and the shares will just need to be transferred in to your name(s). The cost of forming a Nicaraguan corporation will range from US $800 to $1,400.
In late 2006, the DGI (Nicaragua's tax authority) put into place new requirements for Nicaraguan corporations to file monthly reports, regardless of any activity taking place. Under these new requirements, you must file a report each month or the corporation will be assessed a fine. These filings create administrative costs associated with paying someone (a lawyer, accountant, etc.) to oversee the monthly reporting requirements, and can cost anywhere from US $50 to $150 per month. Of course you can find someone to provide you this service at a lower cost; however, we recommend choosing someone that will be conscientious and will make sure you avoid any fines.
